SOFTWARE ACQUISITION AGREEMENT
软件购买协议
This Software Acquisition Agreement ("Agreement") is made this day of （month）, 20xx ("Effective Date"), by and between:
本软件购买协议（"协议"）由下述双方于20xx年 月 日（“生效日期”）签订：
1-（A公司英文名称）, a company incorporated pursuant to the laws and regulations of CHINA, conducting its activities pursuant to commercial license No.xxxx(公司号码）中文写代码软件issued by CHINA, having its address at –（英文地址）represented for the purpose of this Agreement by（A公司英文名称）;(hereafter referred to as "Software Purchaser" which expression shall include its subsidiaries, affiliated ,parent and sister companies ).
1-（A公司中文名称），即一家按中国法律法规成立并凭借中国出具的编号为No.xxxx(公司号码）的商业执照开展业务的公司（以下简称“软件采购商”，包括其子公司、附属公司、母公司和妹公司），位于（中文地址）。（A公司中文名称）代表该公司处理与本协议相
关的事务。

2-（B公司英文名称）, a company incorporated pursuant to the laws and regulations of CHINA, conducting its activities pursuant to commercial license No.xxxx(公司号码）issued by CHINA, having its address at –（英文地址）represented for the purpose of this Agreement by（B公司英文名称）;(hereafter referred to as "Software Seller" which expression shall include its subsidiaries, affiliated ,parent and sister companies ).
2-（B公司中文名称），即一家按中国法律法规成立并凭借中国出具的编号为No.xxxx(公司号码）的商业执照开展业务的公司（以下简称“软件销售商”，包括其子公司、附属公司、母公司和妹公司），位于（中文地址）。（B公司中文名称）代表该公司处理与本协议相关的事务。
Together referred to as the “Parties “and singularly as a “Party” in this Agreement.
在本协议中上述两方合称为“双方”，单独称为“一方”。
RECITALS
鉴于条款
A. The Software Seller owns all right, title, and interest in and to that certain IT program and documentation identified as XXX(软件名称） ("Software"), the functional specifications for which are set forth in Exhibit A hereto;
A．软件销售商拥有被视为XXX(软件名称）的特定IT程序和文件（“软件”）的所有相关权利、所有权和利益，所述软件的功能说明见协议附件A；
B. The Software Seller desires to authorize the Software to Software Purchaser, to provide the customization and integration services and  after that support and maintenance services (“Maintenance Services”), and Software Purchaser desires to buy, acquire the Software license and appoint the Software Seller for the Software’s Maintenance Services , in accordance with the terms and conditions of this agreement;
B．按照本协议条款和条件，软件销售商希望向软件采购商授权软件，同时希望提供定制和集成服务并在之后提供支持和维护服务（“维护服务”），而软件采购商希望购买并获得软件授权，并指定软件销售商提供软件维护服务；
NOW, THEREFORE, for good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, Software Purchaser and Software Seller, intending to be legally bound, hereby agree as follows:
因此，现在，基于善意及等价有偿的原则（双方特此对原则的接受和充分性予以确认），软件采购商和软件销售商特此达成如下协议，并接受下列协议的约束：

1. DEFINITIONS
1．定义
Basic Software means the XXX(软件名称） software along with all the Source Code in relation to the software and all System Documentation and User Documentation.
基础软件指XXX(软件名称）以及所有与其相关的所有源代码，系统文档和用户文档。
Customised Software means the software developed by the Software Seller based on the customisation requirements of the Software Purchaser in accordance with Exhibit B along with all the Source Code in relation to the software and all System Documentation and User Documentation.
定制化开发软件是指软件卖方根据软件购买者在附件B中提出的定制要求进行的软件开发中所涉的所有源代码，系统文档和用户文档。
Insolvency Event means, in respect of any person:
资不抵债/破产是指就任何一方而言，出现以下任一情况：
(a) the person is unable to, or states that it is unable to, pay its debts as they fall due or stops or threatens to stop paying its debts as they fall due;
(b) any indebtedness of the person is subject to a moratorium;
(c) a liquidator, provisional liquidator or administrator has been appointed to any property of the person or an event occurs which gives any other person a right to seek such an appointment;
(d) an order has been made, a resolution has been passed or proposed in a notice of meeting or in an announcement to any recognised securities exchange, or an application to court has been made for the winding-up or dissolution of the person or for the entry into of any arrangement, compromise or composition with, or assignment for the benefit of, creditors of the person or any class of them;
(e) a security interest becomes enforceable or is enforced over, or a writ of execution, garnishee order, mareva injunction or similar order has been issued over or is affecting, all or a substantial part of the assets of the person; or
(f)the person has otherwise become, or is otherwise taken to be, insolvent in any jurisdictio
n or an event occurs in any jurisdiction in relation to the person which is analogous to, or which has a substantially similar effect to, any of the events referred to in paragraphs (a) to (e) above.
（a）该人未能或表示其无法在债务到期时偿还债务，或者在债务到期时停止或者威胁停止债务偿还的义务；
（b）该人的任何债务均须予以暂停;
（c）已经委任清盘人，临时清盘人或管理人；或者已经发生相关事件构成委任清盘人，临时清盘人或管理人的事由；
（d）已作出命令，已在会议通知或通知中向任何认可证券交易所通过或提呈决议案，或已就该人的清盘或解散向法院提出申请或与任何人或其任何类别的债权人订立任何安排，妥协或组成或转让的权利;
